1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you", or "your") and DataTip ("Company", "we", "us", or "our"), governing your access to and use of the VISO virtual try-on application ("Service") available through the Shopify App Store.

By installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use the Service.

You represent that you have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.

2. Service Description

VISO is an AI-powered virtual try-on application designed for Shopify merchants. The Service enables your customers to visualize how clothing and apparel items may look on them by uploading a photo and selecting a product from your store. The Service processes these inputs through artificial intelligence models to generate a composite image.

The Service includes, but is not limited to, the following features:

We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

3. Account & Credits

3.1 Account Registration

To use the Service, you must have an active Shopify store and install the VISO app through the Shopify App Store. Your account is created automatically upon installation and is linked to your Shopify store credentials. You are responsible for maintaining the security of your account and for all activities that occur under it.

3.2 Subscription Plans

The Service is offered under the following subscription plans, billed monthly through Shopify:

All paid subscriptions are processed through Shopify Billing. Pricing is subject to change with reasonable prior notice.

3.3 Credit System

The Service operates on a credit-based usage model:

When your credits are depleted, try-on functionality will be temporarily unavailable until your credits reset at the next billing cycle or you upgrade your plan.

3.4 Billing & Refunds

All charges are processed through Shopify's billing system. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees to your payment method on file. Refunds are handled in accordance with Shopify's policies and at our reasonable discretion. Credits consumed for completed try-on generations are non-refundable.

You agree to use the Service solely for its intended commercial purpose and in compliance with all applicable laws and regulations. You shall not:

We reserve the right to suspend or terminate your access to the Service if we reasonably determine that you are in violation of these acceptable use provisions.

5. AI-Generated Content

Important Disclaimer: The Service uses artificial intelligence models to generate virtual try-on images. AI-generated results are approximations and are not guaranteed to be perfectly accurate representations of how a garment will look on a specific individual. Results may vary depending on image quality, lighting, garment type, body positioning, and other factors. The try-on images are intended as a visual aid and should not be considered a substitute for accurate product descriptions, sizing guides, or the customer's own judgment.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, algorithms, user interface, design, documentation, and all associated intellectual property, is and remains the exclusive property of DataTip and its licensors. These Terms do not grant you any ownership interest in the Service. All rights not expressly granted herein are reserved.

6.2 Your Content

You retain full ownership of all product images, store content, and other materials you provide through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you. We do not claim any ownership rights over Your Content.

6.3 Customer-Uploaded Content

Photos uploaded by your customers for the purpose of virtual try-on are processed in real time and are not stored permanently on our servers beyond what is necessary to deliver the try-on result. You are responsible for informing your customers about the use of the Service and ensuring their consent in accordance with your privacy policy and applicable data protection regulations.

6.4 Generated Output

You are granted a non-exclusive, worldwide license to use, display, and distribute the AI-generated try-on images produced by the Service in connection with the operation of your Shopify store. This license is valid for the duration of your active subscription.

6.5 Your Business Independence

Nothing in these Terms restricts your ability to operate your business, use competing or alternative services, develop your own solutions, or otherwise conduct your commercial activities as you see fit. These Terms do not impose any exclusivity or non-compete obligations on you.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the limitations set forth above shall apply to the fullest extent permitted by applicable law.

8. Termination

8.1 Termination by You

You may terminate your use of the Service at any time by uninstalling the VISO app from your Shopify store. Upon uninstallation, your subscription will be cancelled, and you will not be charged for subsequent billing periods. Any unused monthly credits at the time of termination are forfeited and non-refundable.

8.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Grounds for termination include, but are not limited to:

8.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature are intended to survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) shall remain in full force and effect.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where practicable, by providing notice through the Service or via email. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the modified Terms, you should discontinue your use of the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national laws of Denmark, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

If you are a consumer located within the European Economic Area (EEA), you may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
